These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and BonV Technology Private Limited ("BonV", "Company", "we", "our", or "us"), a company incorporated under the Companies Act, 2013, having its registered office at HD-094, WeWork Latitude, 9th Floor, RMZ Latitude Commercial, Bellary Road, Hebbal, Bangalore, Karnataka, India – 560024.
By accessing, browsing, or using the website located at www.bonvaero.com ("Website"), including all content, functionality, and services offered on or through the Website, you accept and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. By proceeding, you confirm that you meet the eligibility requirements set out in Clause 3 (including age and legal capacity). If you do not agree with any part of these Terms, you must immediately discontinue use of the Website. If you have paid for any service and wish to discontinue use, please refer to Clause 12.2 regarding account deletion and any applicable refund terms.
Your use of the Website constitutes your electronic acceptance of these Terms in accordance with Section 10A of the Information Technology Act, 2000 and the Indian Contract Act, 1872. These Terms are enforceable as an electronic record under applicable Indian law.
"Consent" has the meaning assigned to it under the Digital Personal Data Protection Act, 2023.
"Content" means all text, images, videos, graphics, data, specifications, technical documentation, software, drone models, schematics, designs, and any other material available on or through the Website.
"Data Fiduciary" has the meaning assigned to it under the Digital Personal Data Protection Act, 2023.
"Data Principal" has the meaning assigned to it under the Digital Personal Data Protection Act, 2023.
"Intellectual Property" means all patents, trademarks, service marks, trade names, domain names, copyrights, trade secrets, know-how, proprietary technology, designs, and all other intellectual property rights, whether registered or unregistered, owned by or licensed to BonV.
"Personal Data" has the meaning assigned to it under the Digital Personal Data Protection Act, 2023.
"Platform" means the website located at www.bonvaero.com and any associated mobile applications, APIs, or digital interfaces through which BonV offers its content, products, and services, whether accessed via web browser, mobile device, or third-party integration.
"Services" means all products, drone systems, technology solutions, support services, and digital services offered by BonV through or in connection with the Platform.
"User Content" means any information, data, text, images, files, or other content submitted, uploaded, or transmitted by a User through the Platform.
You must be at least eighteen (18) years of age to use this Platform. If you are below 18 years of age, you may access the Platform only under the supervision of a parent or lawful guardian, who shall be deemed to have accepted these Terms on your behalf, in accordance with applicable provisions of the Digital Personal Data Protection Act, 2023 and Rules framed thereunder.
By using the Platform, you represent and warrant that: (a) you are at least 18 years of age or are accessing the Platform under the supervision of a parent or lawful guardian; (b) you have the legal capacity and authority to enter into these Terms; (c) if you are using the Platform on behalf of an organisation, you have the authority to bind such organisation to these Terms; and (d) if you are accessing the Platform for the purpose of procuring drone systems for government, defence, or security-related applications, you represent that you hold all applicable authorisations required under the Defence Acquisition Procedure 2020, DGFT SCOMET guidelines, and any end-user certification requirements applicable to your procurement.
BonV grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and its Content solely for lawful, personal, or internal business evaluation purposes. This license does not transfer any ownership or proprietary rights to you. You may not share your access credentials or permit third parties to use the Platform under your account.
BonV reserves the right to modify, suspend, or discontinue the Platform or any part thereof, temporarily or permanently, with or without notice, at any time. BonV shall not be liable to you or any third party for any such modification, suspension, or discontinuance, to the extent permitted by applicable law.
5.1 Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use and enjoyment of the Platform.

You expressly agree that you shall not:

All Content on the Platform, including but not limited to text, graphics, images, videos, logos, icons, software, drone designs, technical specifications, documentation, proprietary algorithms, and their selection and arrangement, are the exclusive property of BonV Technology Private Limited or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws under Indian law and international conventions.
To the extent that any Content on the Platform embodies patented or patent-pending technology, such technology is protected under the Patents Act, 1970. BonV holds granted and/or pending patents on certain drone systems, designs, and proprietary algorithms. Unauthorised manufacture, use, or sale of products embodying BonV's patented technology may constitute patent infringement under applicable Indian and international law.
Certain components of the Platform may incorporate open-source software licenced under MIT, Apache 2.0, GPL, or similar open-source licences. BonV complies with all applicable open-source licence obligations, including attribution requirements. A list of open-source components and their applicable licences is available upon written request to [email protected].
6.2 Trademarks
The BonV name, logo, product names, service marks, and trade dress are trademarks and/or trade names of BonV Technology Private Limited. No right, title, or interest in any BonV trademark is granted by these Terms. You may not display or use any BonV trademark without prior written permission, including use in metatags, keyword advertising, domain names, or any other manner that creates a likelihood of confusion or implies affiliation with BonV.
6.3 Limited Permission
You are permitted to print and download extracts from the Platform for your personal, non-commercial use only, provided that: (a) you do not modify any Content; (b) you do not use any graphics separately from accompanying text; (c) you retain all copyright, trademark, and proprietary notices; and (d) you do not use such Content in any manner that suggests endorsement by or association with BonV.
6.4 Restrictions
No Content from the Platform may be reproduced, distributed, republished, downloaded, displayed, posted, transmitted, or exploited in any form or by any means without BonV's prior express written consent. Any unauthorised use terminates the limited license granted under these Terms.
By submitting any User Content to BonV through the Platform (including enquiry forms, requests for proposals, technical submissions, or feedback), you grant BonV a non-exclusive, royalty-free, worldwide license to use, store, reproduce, and process such User Content solely for the purposes of operating, maintaining, and improving BonV's Platform, products, and services, and responding to your enquiries, evaluating business opportunities. This licence does not extend to use of your User Content for internal research or analysis beyond the scope of responding to your specific enquiry, without your separate and explicit consent obtained for that purpose. This license shall remain valid only for as long as the User Content is retained in accordance with our Privacy Policy and applicable law, and shall automatically terminate upon deletion of your User Content or closure of your account, whichever is earlier.
You represent and warrant that: (a) you own or have the necessary rights and permissions to submit the User Content; (b) the User Content does not infringe any third-party intellectual property or proprietary rights; and (c) the User Content does not contain any confidential information of any third party, unless you have the authority to disclose it. If BonV receives a complaint that User Content submitted by you infringes the rights of a third party, BonV reserves the right to remove such content and notify you of the complaint.
To the extent permitted by applicable law, you hereby waive any moral rights (including rights under Section 57 of the Copyright Act, 1957) in respect of User Content submitted to BonV, solely to the extent necessary for BonV to exercise the licence granted under this clause.
BonV shall not be responsible for any loss or damage arising from any User Content submitted to the Platform. You acknowledge that User Content is submitted at your own risk.
8.1 "As-Is" Disclaimer
THE PLATFORM AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BONV DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
8.2 No Warranty of Accuracy
BonV does not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) the Content is accurate, complete, reliable, current, or free of viruses or other harmful components; or (c) any defects in the Platform will be corrected. Technical specifications, performance data, payload capacities, and other drone-related information published on the Platform are indicative and subject to change. Such information does not constitute a guarantee of performance under specific operational conditions.
8.3 Professional Advice
Nothing on the Platform constitutes professional, legal, technical, engineering, or financial advice. Any reliance placed on Content available on the Platform is strictly at your own risk. You should seek independent professional advice before making any decisions based on information obtained from the Platform.
8.4 Statutory Rights
Nothing in these Terms shall exclude or limit any warranties or rights that cannot be lawfully excluded or limited under applicable Indian law, including the Consumer Protection Act, 2019. To the extent BonV markets or supplies goods (including drone systems) through or in connection with the Platform, implied conditions of merchantable quality and fitness for purpose under the Sale of Goods Act, 1930 are excluded to the maximum extent permitted by applicable law, subject always to consumer rights under the Consumer Protection Act, 2019.
8.5 Cybersecurity and Breach Notification
BonV implements appropriate technical and organisational security measures to protect the Platform and User data. However, BonV does not warrant that the Platform is free from security vulnerabilities or that data transmitted to or from the Platform is fully secure. In the event of a cybersecurity incident affecting the Platform, BonV shall:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW:
(a) BonV, its directors, officers, employees, agents, affiliates, licensors, and suppliers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, business opportunity, or revenue, arising out of or in connection with: (i) your use of or inability to use the Platform; (ii) any Content obtained from the Platform; (iii) any conduct or content of any third party on the Platform; or (iv) unauthorised access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.
(b) In no event shall BonV's total aggregate liability to you for all claims arising out of or relating to the use of the Platform exceed the greater of INR 50,000 (Indian Rupees Fifty Thousand) or the total amount paid by you to BonV in the twelve (12) months preceding the claim.
(c) Nothing in these Terms shall exclude or limit liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be excluded or limited under applicable Indian law.
(d) Notwithstanding anything to the contrary in this Clause 9: (i) nothing herein limits BonV's liability to a consumer (as defined under the Consumer Protection Act, 2019) for defects in goods or deficiency in services; (ii) the aggregate liability cap in Clause 9(b) does not apply to, and has no effect on, regulatory penalties imposed under the Digital Personal Data Protection Act, 2023 or any other statute; and (iii) where BonV actively curates, promotes, or edits third-party content on the Platform, the exclusion in Clause 9(a)(iii) shall not apply to such curated content.
You agree to indemnify, defend, and hold harmless BonV, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your misuse of or unauthorised access to the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; or (e) any User Content submitted by you.
BonV reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you shall continue to be responsible for all costs, damages, and expenses arising from such matter. You agree to cooperate with BonV's defence of such claims. You shall not settle any claim without BonV's prior written consent.
The Platform may contain links to third-party websites, resources, or advertisements that are not owned or controlled by BonV. BonV has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. The inclusion of any link does not imply endorsement, sponsorship, or recommendation by BonV. In addition, the Platform may incorporate embedded third-party tools, including analytics services, customer relationship management widgets, and marketing platforms (such as Google Analytics, HubSpot, or equivalent services). These embedded tools may independently collect data about your interactions with the Platform. BonV has entered into data processing agreements with such third-party processors as required under the Digital Personal Data Protection Act, 2023. Details of embedded third-party tools are disclosed in BonV's Privacy Policy.
Your interactions with any third-party website or service are solely between you and the third party. BonV shall not be liable for any loss or damage arising from your use of any third-party website or service. We strongly advise you to review the terms of use and privacy policies of any third-party websites or services that you visit.
12.1 Termination by BonV
BonV may, at its sole discretion, suspend or terminate your access to the Platform (including any account) at any time, with prior written notice of at least seven (7) days, except where termination is for breach of these Terms, illegal conduct, or is required to protect the security of the Platform, in which case termination may be immediate and without prior notice, for any reason, including but not limited to: (a) violation of these Terms; (b) conduct that BonV reasonably believes is harmful to other users, BonV, or third parties; (c) non-compliance with applicable laws or regulations; or (d) to protect the integrity, security, or proper functioning of the Platform.
12.2 Termination by User
You may discontinue your use of the Platform at any time. If you have created an account, you may request deletion of your account by contacting us at [email protected].
12.3 Effects of Termination
Upon termination: (a) all rights and licenses granted to you under these Terms shall immediately cease; (b) you must immediately cease all use of the Platform; (c) BonV may disable or delete your account and associated data, subject to applicable data retention requirements under the DPDPA and other applicable laws; (d) upon your written request, BonV shall process any request for deletion or return of your personal data in accordance with the Digital Personal Data Protection Act, 2023 within thirty (30) days of such request; and (e) any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Clauses 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution).
BonV reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Any changes shall become effective upon posting of the revised Terms on the Platform with a revised "Last Updated" date. Where material changes are made, BonV shall provide reasonable notice through a prominent notification on the Platform. Where changes relate to: (i) personal data processing activities; (ii) introduction of or changes to fees; (iii) intellectual property licences; or (iv) dispute resolution mechanisms — BonV shall provide at least fourteen (14) days' advance written notice by email and shall seek your affirmative acceptance through a click-through mechanism before such changes take effect.
Your continued use of the Platform after the posting of modified Terms constitutes your acceptance of such modifications. We encourage you to review these Terms periodically to stay informed of any changes. If you do not agree with any modified Terms, you must immediately discontinue use of the Platform.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to the arbitration provisions in Clause 15, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively before the competent courts at Bhubaneswar, India, and you hereby irrevocably submit to the personal jurisdiction of such courts, to the extent permitted by applicable law in your jurisdiction.
15.1 Amicable Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiations within thirty (30) days of written notice of the dispute.
15.2 Arbitration
If the dispute is not resolved through negotiation within the above period, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted as follows:
15.3 Injunctive Relief
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information, without the requirement of posting a bond or proving actual damages.
15.4 Statutory Rights Preserved
Nothing in this clause shall restrict the right of any individual to approach a consumer forum under the Consumer Protection Act, 2019 or the Data Protection Board of India under the DPDPA for grievance redressal under applicable law.
BonV is committed to compliance with applicable export control laws and maintains appropriate internal controls. BonV's products and technology may be subject to export control laws and regulations of India, including the Directorate General of Foreign Trade (DGFT) guidelines, the Weapons of Mass Destruction and their Delivery Systems (Prohibition of Unlawful Activities) Act, 2005, and applicable international export control regimes. BonV's drone products are additionally subject to the Drone Rules, 2021, including restrictions on the import and export of unmanned aircraft systems under Rule 6 thereof, and to DGFT SCOMET (Special Chemicals, Organisms, Materials, Equipment and Technologies) controls applicable to dual-use and defence-related drone technology under Appendix 3 of the DGFT SCOMET Policy.
You agree that you shall not, directly or indirectly, export, re-export, or transfer any Content, technical data, or information obtained from the Platform to any country, entity, or person in violation of applicable export control laws and sanctions.
BonV shall not be liable for any failure or delay in the performance of any obligation under these Terms if such failure or delay results from circumstances beyond BonV's reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil unrest, government actions or regulations, sanctions, embargoes, labour disputes, failure of telecommunications or internet service providers, power outages, or cyberattacks. Force majeure shall excuse performance only of those specific obligations directly affected by the event; all other obligations under these Terms shall continue unaffected. BonV shall notify you of any force majeure event within seven (7) business days of its occurrence and its expected impact on performance. BonV shall use reasonable efforts to mitigate the effects of any force majeure event and shall resume performance as soon as practicable after the event ceases.
18.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
18.2 Waiver
The failure of BonV to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of BonV.
18.3 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and BonV regarding the use of the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
18.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without BonV's prior written consent. BonV may assign these Terms upon written notice to you of at least thirty (30) days, provided that any assignee agrees to be bound by these Terms and any assignment that involves the transfer of personal data to a jurisdiction outside India shall comply with the cross-border data transfer requirements of the Digital Personal Data Protection Act, 2023.
18.5 Electronic Records
You acknowledge that these Terms constitute a valid electronic record in accordance with the Information Technology Act, 2000 and are legally binding and enforceable. Your use of the Platform constitutes your valid electronic acceptance of these Terms.
18.6 Notices
All notices under these Terms shall be given in writing and delivered by email or registered post. Notices to BonV shall be sent to [email protected] or to the registered office address. Notices to you shall be sent to the email address associated with your account or as otherwise provided by you. Email notices shall be deemed received upon successful transmission, provided no automated non-delivery notification is received by the sender within 24 hours. Notices sent by registered post shall be deemed received on the third (3rd) working day after the date of posting.
18.7 Language
These Terms are published in English. BonV shall use reasonable efforts to make key provisions of these Terms available in Kannada for users based in Karnataka, in accordance with the Consumer Protection Act, 2019 and applicable CCPA Guidelines. In the event of any conflict between an English version and a translated version, the English version shall prevail.
18.8 Geographic Restrictions
The Platform is directed at users in India. BonV makes no representation that the Platform, its Content, or any product described therein is appropriate, lawful, or available in jurisdictions outside India. Users accessing the Platform from outside India do so at their own risk and are responsible for compliance with their local laws. BonV's drone products and technical data are subject to applicable export control, import restriction, and sanctions laws — including Indian, US, EU, and UN regimes — and may not be procured or used in jurisdictions subject to applicable sanctions or where such technology is prohibited.
In accordance with Rule 5(9) of the IT Rules and the requirements of the DPDPA, BonV has designated the following Grievance Officer to address your concerns regarding data privacy and this Policy:
The Grievance Officer shall acknowledge your complaint within a reasonable time and endeavour to resolve it within thirty (30) days of receipt, as required under applicable law. If you are not satisfied with the resolution, you may escalate your complaint to the Data Protection Board of India in accordance with the procedures prescribed under the DPDPA.
